1. Agreement Overview
This agreement is entered into by and between the Venue Operator ("Licensee") and CueTrack ("Licensor"). By creating a club account and using the CueTrack platform, Licensee agrees to be bound by these B2B Software-as-a-Service terms.
2. Platform License
Licensor grants Licensee a limited, non-exclusive, non-transferable, revocable license to use the CueTrack platform solely for the purpose of venue management, tournament organization, and player ranking at the Licensee's designated physical location.
3. Credit Wallet Terms
- Purchases: Credits are purchased in packs via the CueTrack dashboard.
- Deductions: One credit is deducted from the Licensee's wallet each time a player is activated globally.
- Carry Over: Unused credits carry over indefinitely, subject to the 24-month inactivity expiry clause.
- Non-Transferable: Credits cannot be transferred to other clubs or exchanged for cash.
4. Pricing Confidentiality
Licensee acknowledges that CueTrack's B2B wholesale pricing structure is CONFIDENTIAL. Licensee agrees not to disclose CueTrack's wholesale pricing (including the per-player credit cost) to end users, players, or third parties. Licensee may independently set and charge any local registration fees to players at their own discretion.
5. Club Logo License
By uploading your club logo and joining CueTrack, you grant CueTrack a non-exclusive, royalty-free, worldwide license to display your club's name, logo, and city on global leaderboards, tournament broadcast pages, and platform promotional materials. This license remains active while your club is an active member of the CueTrack network.
6. Prohibited Uses
Licensee strictly agrees NOT to use the CueTrack platform to:
- Facilitate gambling, sports betting, or illegal wagering.
- Organize tournaments with illegal prize mechanics (e.g., rakes or pot cuts).
- Unauthorized resale or sublicensing of the CueTrack software.
7. Termination
Either party may terminate this agreement with 30 days' written notice. Upon termination, Licensee will lose access to the platform. Unused credits may be refunded at CueTrack's discretion, minus any applicable processing fees.
8. Limitation of Liability
In no event shall CueTrack's aggregate liability arising out of or related to this agreement exceed the total amount paid by Licensee for credit purchases in the three (3) months preceding the event giving rise to the claim. CueTrack is not liable for indirect, incidental, or consequential damages.
9. Entire Agreement
This Agreement, along with the Terms of Service and Privacy Policy, constitutes the entire agreement between Licensee and Licensor regarding the use of the CueTrack platform.
